This 2nd day of February, 1989, it appearing that:

1) The plaintiffs, Stockholders of RJR Nabisco, Inc. (the company), seek an interlocutory appeal from an order of the Court of Chancery denying their motion for a preliminary injunction to enjoin the closing of a tender offer for the shares of the company.

2) Pursuant to Rule 42(c) the Chancellor has refused to certify the appeal to us on the grounds that the opinion of the trial court does not establish legal rights or meet the requirements of Rule 42(b).

3) We agree. No legal rights have been established here. The legal issues presented are being addressed by this Court in Mills Acquisition Co., et al. v. Macmillan, Inc., et al., Nos. 415 and 416, 1988 (Consolidated), as to which an opinion will issue in due course.

NOW, THEREFORE, IT IS ORDERED that the within interlocutory appeal be, and the same hereby is,

REFUSED.
