Formation Assignment
- Draft an initial certificate of incorporation for a fictitious corporation. Your certificate must comply with all the relevant provisions of the Delaware code (including, but not necessarily limited to 101-103). You must make at least two 'customizations' to your initial certificate of incorporation. In addition, your corporation must have two classes of stock, each with different rights.
- Draft an initial certificate of incorporation for a fictitious public benefit corporation. Your certificate must comply with all the relevant provisions of the Delaware code (including, but not necessarily limited to 361-368). You must make at least two 'customizations' to your initial certificate of incorporation of your public benefit corporation. Your certificate for your public benefit corporation must specify a public benefit.
